By using the Service, you agree to be bound by these Agreements. If you do not agree to all of them, you may not access or use the Service. These Terms expressly supersede and replace any prior agreements or understandings, written or oral, relating to the Service.

Eligibility

Do not use the Site if you do not agree to the Terms or if your jurisdiction will not honor them. Persons under the age of 13 are not authorized to use the Site.

Communication

By creating an Account on our Service:

  • You agree to receive calls at given telephone numbers, irrespective of whether the number is registered with National Do Not Call / Do Not Disturb or similar registries.
  • Subscribe to newsletters, marketing or promotional materials, and other information we may send.

Purchases

If you wish to purchase any product or service made available through Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase, including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete. We may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, errors in your order, or other reasons. We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Usage of our Services is subject to the fees set out on our website.

Usage Fees:

Some parts of Service are billed based on the amount of usage(“Usage”). The fees you pay will be directly correlated with the number of calls and amount of voice minutes processed and transmitted to our Platform. The fee structure may change based on the product tier chosen.

Subscription Fees:

Some parts of Service are billed on a subscription basis (“Subscription(s)””). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team.

Free Trial:

We. may, at our sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”). You may be required to enter your billing information in order to sign up for Free Trial. If you do enter your billing information when signing up for Free Trial, you will not be charged by SHORTLOOP, Inc. until Free Trial has expired. On the last day of Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected. At any time and without notice, we reserve the right to (i) modify Terms of Service of Free Trial offer, or (ii) cancel such Free Trial offer.

Payment:

A valid payment method, including credit card or PayPal, is required to process the payment for your subscription and usage. You shall provide us with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize SHORTLOOP Inc. to charge all Subscription and Usage fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, SHORTLOOP Inc. will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice. If the payment is not received within this period, we reserve the right to automatically suspend or stop services. You will be notified of overdue amounts and the service suspension. Services will resume once the overdue payment is cleared. Persistent failure to pay may result in permanent termination of the services.

Fee Changes:

SHORTLOOP in its sole discretion and at any time, may modify the Usage and Subscription fees for the Service. Any fee change will become effective at the end of the then-current Billing Cycle. We will provide you with a reasonable prior notice of any change in fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of the Service after the fee change comes into effect constitutes your agreement to pay the modified fee amount.

Refunds:

All subscriptions and charges billed by SHORTLOOP are non-refundable. Certain refund requests for charges may be considered on a case-by-case basis and granted at the sole discretion of SHORTLOOP.

Acceptable Uses

Your use of the service must adhere to all applicable laws and regulations, especially local laws where this service is being accessed in a location outside the USA.

Prohibited Uses:

You agree to not, directly or indirectly (and will not permit any third party) to:

  • do anything with the Services other than use them for your own use as intended under these Terms, including not license, sell, rent, lease, transfer, assign, reproduce, distribute, host, or otherwise commercially exploit the Services or any portion of the Services
  • use our name, trademarks, service marks, trade names, designs, logos, photos, or any other materials we make available via the Services, except as allowed by these Terms;
  • remove, alter, or destroy any copyright notices or other proprietary markings (trademarks, service marks, or other proprietary notices) contained on or in the Services or infringe our Intellectual Property Rights (as defined);
  • Use the Service to transmit any unsolicited commercial communications.
  • Copy, modify, translate, adapt, merge, archive, download, upload, disclose, distribute, sell, lease, syndicate, broadcast, perform, display, make available, make derivatives of, or otherwise use the Services or its content on the Services, other than as expressly permitted by these Terms or enabled by the Services’ intended functionality, except to the extent the foregoing restrictions are expressly prohibited by applicable law;
  • Reverse engineer, duplicate, decompile, disassemble, or decode any part of the software we provide or the Services, or otherwise extract the source code of the software of the Service;
  • Use any robot, spider, crawler, scraper, avatar, miner or other manual or automated means to access the Services, “scrape” or download data from any part of our Platform or our website, or extract any information that doesn’t relate to Your Content;
  • Pretend to be someone else or falsely represent your association with any other entity
  • Access the Service in ways that are not authorized by these Terms.
  • Leverage the Service to produce datasets for neural network training, machine modeling, or developing templates or products for third-party.
  • Transmit, distribute, publish, use, or otherwise make available, through or in connection with the Services, any material that would give rise to criminal or civil liability.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
  • To use our service for phishing, spamming, or other illegal purposes and harmful communications.

Additionally, you agree not to:

  • Upload viruses or other malicious code or otherwise compromise, bypass, or circumvent the security of the Services;
  • Disrupt or hinder (or try to do so) any of the Service's web pages, connected servers or networks, or technical systems of a Provider, or not follow protocols or guidelines linked to the Service.
  • Try to detect, scan, or test any vulnerabilities of the Services or any of our or our Provider’s system or network, or breach or override any security or authentication protections for the Services.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service.
  • Attack Service via a denial-of-service attack or a distributed denial-of-service attack.
  • Take any action that may damage or falsify Company rating.
  • Otherwise attempt to interfere with the proper working of Service.

In all cases, SHORTLOOP will determine in our sole discretion whether any action of an end-user violates the above rules.

Accounts

When you create an account with us, you guarantee that you are above the age of 13, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene

We reserve the right to refuse service, terminate accounts, or cancel orders in our sole discretion.

Intellectual Property Rights

Your Content:

When you utilize our Service, all materials uploaded to or transmitted via the Platform is your content (“Your Content”). You own all rights and title in Your Content, including any Intellectual Property Rights (as defined). SHORTLOOP does not claim any ownership of Your Content or assert any rights under your Intellectual Property Rights other than as granted under these Terms.

Rights You Grant Us:

You hereby grant SHORTLOOP a worldwide, royalty-free, sublicensable license to host, store, cache, use, display, reproduce, modify, adapt, edit, analyze, transmit, and distribute (“Handle”) Your Content during the Term. This license to Handle is solely for the purpose of us and our Providers providing you the Services.

Our scope of use of data in all instances is for purposes of enhancing call features, latency and the performance of your AI voice agents, and does not in any way relate to capturing and using personal information of any caller or any information/inputs of a caller in respect of your business or the caller.

You also give permission to us to process Usage data and Your Content for the development, training and improvement of artificial intelligence and machine learning models that are included in our products and services, including third-party components used. However, before being used for these purposes, (a). Usage Data and Your Content is first aggregated, and (n). We shall make commercially reasonable measures to de-identify such data using industry-standard techniques. Nothing in this section shall lessen or restrict our obligations under applicable data protection laws with regard to Personal Data that may be included in such Your Content or Usage Data.

You also agree that submission of any ideas, suggestions, documents, and/or proposals to SHORTLOOP (“Feedback”) is at your own risk and that we have no obligations (including without limitation obligations of confidentiality) with respect to such Feedback. You represent and warrant that you have all rights necessary to submit the Feedback. You hereby grant to SHORTLOOP a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable and transferable right and license to use, reproduce, perform, display, distribute, adapt, modify, re-format, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, any and all Feedback for any purpose.

SHORTLOOP’s Rights:

The Service utilizes technology, capabilities and contains certain materials provided by us as well as our licensors, including but not limited to, all proprietary LLM, content, information, software, images, text, graphics, illustrations, logos, and as applicable, audio and video. SHORTLOOP and its licensors reserve all ownership and Intellectual Property Rights to all parts of our Services. For the purposes of these Terms, “Intellectual Property Rights” means all (i) patents, patent disclosures, and inventions (whether patentable or not), (ii) trademarks, (iii) copyrights and copyrightable works (including computer programs), and rights in data and databases, and (iv) all other intellectual property rights, in each case whether registered or unregistered and including all applications for, and renewals or extensions of, such rights, and all similar or equivalent rights or forms of protection in any part of the world.

Publicity Rights

You agree to identify yourself as a user of our Product and Service, and SHORTLOOP may utilize your trademarks and logo on its website and in marketing materials. For the duration of the Agreement, you thus grant SHORTLOOP a non-exclusive, royalty-free license to use this in connection with any marketing, promotion, or advertising of Service or the Product.

Indemnification

You agree to fully indemnify, defend, and hold harmless SHORTLOOP from and against any and all claims, damages, liabilities, losses, investigations, inquiries, costs, and expenses (including attorneys’ fees and court costs) that arise out of or result from (i) your use or misuse of the Service, (ii) your violation of these Terms, and (iii) your violation of any rights of another. SHORTLOOP reserves the right, at your expense, to assume exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate in that defense. You agree that the provisions in this paragraph will survive any termination of your account or the Service.

Disclaimer

THESE SERVICES ARE PROVIDED BY SHORTLOOP ON AN “AS IS” AND “AS AVAILABLE” BASIS. SHORTLOOP MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THEIR SERVICES, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THESE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK.

NEITHER SHORTLOOP NOR ANY PERSON ASSOCIATED WITH SHORTLOOP MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER SHORTLOOP NOR ANYONE ASSOCIATED WITH SHORTLOOP REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

SHORTLOOP HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation Of Liability

EXCEPT AS PROHIBITED BY LAW, YOU WILL HOLD US AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, HOWEVER IT ARISES (INCLUDING ATTORNEYS' FEES AND ALL RELATED COSTS AND EXPENSES OF LITIGATION AND ARBITRATION, OR AT TRIAL OR ON APPEAL, IF ANY, WHETHER OR NOT LITIGATION OR ARBITRATION IS INSTITUTED), WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, OR ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING FROM THIS AGREEMENT AND ANY VIOLATION BY YOU OF ANY FEDERAL, STATE, OR LOCAL LAWS, STATUTES, RULES, OR REGULATIONS, EVEN IF SHORTLOOP HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF SHORTLOOP, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE PRIOR LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

Termination

We may terminate or suspend your account and bar access to Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms. If you wish to terminate your account, you may simply discontinue using Service. All provisions of Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These terms shall be governed and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Change of Terms

We reserve the right, at its sole discretion, to modify these Terms, including the Privacy Policy and other policies incorporated herein, at any time and without prior notice. Your continued use of the Service after any such changes constitutes your binding acceptance of the new Terms.
